1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, tools, content, and services provided by NYS Capital Solutions, LLC (“NYS,” “we,” “us,” or “our”), including but not limited to CredifyIQ™, consulting services, educational offerings, referral services, and facilitated access to third-party platforms (collectively, the “Services”).
By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and a resident of the United States to use the Services.
2. OVERVIEW OF SERVICES
NYS Capital Solutions, LLC provides access to one or more of the following, as made available from time to time:
- CredifyIQ™ – a guided credit intelligence experience that integrates educational tools and insights with third-party credit monitoring access
- Business consulting and advisory services
- Educational programs, courses, and digital content
- Affiliate and referral introductions to third-party products, services, and marketplaces
- Facilitated access to licensed or third-party platforms, including but not limited to the 7 Figures Funding marketplace and Business Lending Blueprint
The scope, features, eligibility, and availability of Services may change at any time without notice.
3. IMPORTANT DISCLOSURES (NO GUARANTEES)
3.1 No Guaranteed Outcomes
NYS does not guarantee any results, including but not limited to:
- Credit score increases
- Removal of credit report items
- Loan or funding approvals
- Specific funding amounts, rates, or timelines
- Business or financial performance outcomes
All results depend on factors outside NYS’s control.
3.2 Not a Lender or Credit Decision Maker
NYS is not a lender, not a credit bureau, and not a broker of record. We do not make underwriting or credit decisions. Any approvals, denials, or terms are determined solely by third-party providers.
3.3 No Legal, Financial, or Tax Advice
All information provided through the Services is for educational and informational purposes only and does not constitute legal, tax, financial, or investment advice. You should consult licensed professionals regarding your specific situation.
4. CREDIFYIQ™ TERMS (CONSUMER CREDIT PLATFORM)
4.1 Nature of CredifyIQ™
CredifyIQ™ is a credit intelligence and guidance experience designed to help individuals better understand and manage their credit. CredifyIQ™ may include:
- Educational content and personalized guidance
- AI-assisted insights and suggested action plans
- Tools that help users review credit information and generate dispute documentation
- Integrated access to third-party credit monitoring services
CredifyIQ™ does not act on your behalf, submit disputes for you, or represent you to credit bureaus or creditors.
4.2 THIRD-PARTY BILLING FOR CREDIT MONITORING (CRITICAL)
Credit monitoring services are provided and billed exclusively by a third-party monitoring provider (SmartCredit/CreditSmart).
- The $39.99/month credit monitoring fee is charged directly by the monitoring provider
- NYS Capital Solutions does NOT process, collect, or control these payments
- NYS is not the merchant of record for credit monitoring charges
- Billing terms, cancellations, refunds, and disputes related to credit monitoring are governed by the monitoring provider’s own terms and policies
Access to the CredifyIQ™ guided platform experience is provided in connection with your third-party credit monitoring subscription.
4.3 USER RESPONSIBILITY (CREDIFYIQ™)
You acknowledge and agree that:
- You are solely responsible for reviewing your credit information
- All actions taken using CredifyIQ™ tools are initiated and completed by you
- You decide whether to submit disputes or take any action
- NYS does not guarantee the accuracy of third-party credit data
5. PAYMENTS PROCESSED BY NYS (STRIPE)
NYS Capital Solutions uses Stripe to process payments only for NYS-owned services such as:
- Consulting services
- Educational programs
- Digital products or courses
Stripe is not used to process credit monitoring payments.
Unless otherwise stated in writing:
- All NYS-processed payments are non-refundable
- Subscription services renew automatically unless canceled prior to renewal
6. AFFILIATE MARKETING & REFERRAL DISCLOSURE
NYS may refer or introduce you to third-party products, services, or platforms. In some cases, NYS receives compensation for these referrals.
- Third-party services are provided by third parties, not NYS
- NYS does not control third-party pricing, eligibility, or outcomes
- Your participation is subject to the third party’s terms and privacy policies
7. THIRD-PARTY PLATFORMS & LICENSED PROGRAMS
7.1 7 Figures Funding Marketplace
NYS may provide facilitated access or referrals to the 7 Figures Funding marketplace.
- NYS is not the operator of the marketplace
- All funding decisions are made by third-party providers
- Use is governed by 7 Figures Funding’s own Terms and Privacy Policy
7.2 Business Lending Blueprint
NYS may provide access to Business Lending Blueprint educational programs under a licensing arrangement.
- Program terms, refunds, and content policies are governed by the program owner
- NYS does not guarantee business success or income
8. BUSINESS CONSULTING SERVICES
Where NYS provides consulting services:
- Scope and fees may be defined in a separate agreement, proposal, or invoice
- You agree to provide accurate and timely information
- Consulting outcomes are not guaranteed
9. USER ACCOUNTS & SECURITY
You agree to:
- Provide accurate registration information
- Maintain confidentiality of login credentials
- Notify us immediately of unauthorized access
NYS may suspend or terminate access for fraud, abuse, or violations of these Terms.
10. ACCEPTABLE USE
You agree not to:
- Violate laws or third-party rights
- Misrepresent identity or financial information
- Engage in fraud or deceptive marketing
- Scrape or access systems without authorization
- Make unsubstantiated claims such as “guaranteed approval” or “instant results”
11. INTELLECTUAL PROPERTY
All content, software, branding, text, graphics, and materials provided by NYS are owned by NYS or its licensors and protected by intellectual property laws.
You may not reproduce, distribute, or exploit any content without written permission.
12. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NYS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO NYS IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS LESS
14. ARBITRATION & CLASS ACTION WAIVER (GEORGIA)
14.1 Binding Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in Georgia.
14.2 No Class Actions
You waive the right to participate in any class action or representative proceeding.
14.3 Informal Resolution
Before arbitration, parties agree to attempt informal resolution for 30 days by contacting [email protected].
15. GOVERNING LAW
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
16. MODIFICATIONS
NYS may update these Terms at any time. Continued use after updates constitutes acceptance.
